Terms of Service

1. Service description

BuildSpace is an asynchronous review service. You create a Build, add your work, and request a structured AI review or an expert video and written review. You remain responsible for implementation and for checking the recommendations. Reviews are saved in your workspace; email notifications are not required to receive them.

A saved file or URL is the working source for a review, not an integration with your machine or a guarantee that every referenced page or embedded item has been read. Upload revised versions when your work changes. Reviews do not modify your local files or implement recommendations for you.

StackSwap builds independent software products and tightly scoped GTM software under separate written agreements. StackSwap also publishes operator research, free GTM prompts, and related tools. We may add, change, or retire public pages and tools over time.

Public content is informational and may include opinion, estimates, or links to third-party products. It is not a promise of business, revenue, savings, traffic, or other results.

2. Not financial, legal, or procurement advice

StackSwap is not a law firm, accounting firm, investment adviser, or procurement consultant. Nothing on the platform is financial, legal, tax, or professional procurement advice.

You are responsible for your own decisions including contracts, budgets, vendor selection, compliance, and security. Use your own judgment and consult qualified professionals when needed.

3. Use of the service

You agree that you will not:

• • Break the law, infringe others' rights, or submit data you don't have a right to use.
• • Abuse, disrupt, or attempt to overload the platform; probe or bypass security; or access non-public areas without permission.
• • Scrape, crawl, or harvest the service at scale; use automated means to extract our models, reports, or data except through interfaces we expressly provide.
• • Reverse engineer, decompile, or attempt to extract source code or models except where the law allows.
• • Misrepresent affiliation with StackSwap or use the service to send spam or misleading communications.

We may suspend or limit access if we reasonably believe you have violated these terms or pose a risk to the service or other users.

Public content and third-party links. StackSwap may link to vendor documentation, third-party research, or client-approved showcase entries. Those destinations are operated by others and have their own terms and privacy policies.

4. Accuracy and third-party content

Read-only judgment, not execution. A GTM Pulse inspects the authorized evidence available to it. An Expert Beta Review is a bounded personal inspection of the accessible product and context, with asynchronous feedback. Neither authorizes StackSwap to edit your repository, publish changes, operate campaigns, or execute changes on your behalf. You remain responsible for implementation and for granting appropriate test access without exposing production secrets or customer data.

Output quality depends on input quality. Supply the relevant current work, audience, goals, constraints, and questions. Incomplete, outdated, inaccessible, or misleading inputs can produce incomplete or inaccurate feedback. AI can also make mistakes even with good inputs. A score or review is an assessment, not certification, exhaustive testing, or a guarantee of originality, security, compliance, or commercial success.

Research reflects the evidence available when it was prepared. Vendor pricing, limits, packaging, and product capabilities can change. Any figures or comparisons are directional estimates, not audited results.

Always validate material decisions, especially spend, renewals, and security, directly with your organization and vendors.

5. Intellectual property

You retain all rights you hold in the materials, code, designs, ideas, business information, and other work you submit. Nothing in these terms transfers your Build or business to us. StackSwap retains its independently developed platform, branding, software, and review frameworks. This reservation does not give us rights in your confidential work.

You grant us a limited, non-exclusive license to host, copy, transmit, extract, analyze, and display your submitted materials only to operate your private workspace, provide the reviews and support you request, and protect the service. We may use the service providers and authorized reviewers needed for those purposes. This is a service-delivery license, not a right to sell, publish, license to unrelated parties, or commercialize your Build.

We will not use your confidential materials to reproduce your product for ourselves or another customer, disclose your proprietary strategy in someone else's review, or take your Build or ideas as our own. General professional knowledge and independently developed work remain usable, but calling something a general lesson does not authorize disclosure or appropriation of your confidential information.

You may use, modify, and implement the reviews and recommendations delivered to you in your own work, including commercial work. We grant you a continuing, non-exclusive license to any StackSwap-owned elements of those delivered reviews needed for that use. This does not transfer our underlying platform or grant rights in third-party material. AI output may not be unique or eligible for exclusive intellectual-property protection.

Project memory is not shared learning. We use your Build's context, submissions, and review history to make subsequent reviews of that Build more useful. We do not obtain a blanket license to train on or pool customer Builds merely because they are submitted. Any future use of your material to improve shared review knowledge beyond delivering your own service requires a separate, clear permission process describing what is used and how to withdraw. That process is not enabled by these terms alone.

6. Subscriptions and project fees

You can create your Build and add context before subscribing. BuildSpace subscriptions renew monthly at the price shown in checkout until canceled through Plan & credits. Your account shows the plan allowance and available review credits. Submitting a review consumes one credit of the selected type. Failed Brain generation returns that credit. Inactive subscriptions cannot submit new reviews, but existing Builds and reviews remain viewable unless you request deletion or access is restricted for a lawful reason.

Expert Beta Reviews and private Signal replies are asynchronous. The private Signal line to Nick is for short questions, second opinions, and quick judgment calls between reviews. Replies are provided when available; membership does not promise instant replies, live availability, unlimited consulting, full build reviews in Signal, or implementation. Deep work belongs in a GTM Pulse or Expert Beta Review. Contact nick@stackswap.ai about billing errors or service issues.

Custom software builds, including Demo Rooms, are scoped and priced in a written proposal or statement of work. That agreement controls the deliverables, timeline, approvals, payment schedule, ownership, and any optional customer showcase permission.

Unless a signed project agreement says otherwise, StackSwap does not guarantee any level of revenue, ROI, conversion, traffic, savings, or other business outcome.

7. Termination

You may stop using StackSwap at any time. We may modify, suspend, or discontinue all or part of the service; where reasonable, we will try to give notice. Provisions that by their nature should survive (including ownership, disclaimers, and liability limits) will survive termination.

8. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES (INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT).

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STACKSWAP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING ANY DECISION MADE BASED ON ESTIMATES OR RECOMMENDATIONS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO STACKSWAP FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE NOT PAID US. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

You will defend and indemnify StackSwap against third-party claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the service, your content, or your violation of these terms, except to the extent caused by our gross negligence or willful misconduct.

9. Governing law

These terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules. You agree that the state and federal courts located in Texas will have exclusive jurisdiction over any dispute, subject to mandatory consumer protections in your home jurisdiction where applicable.

10. Changes and contact

We will provide notice of material changes before they take effect where required. Changes do not retroactively expand our permission to reuse previously submitted confidential materials. A new purpose requiring your consent will require a separate choice; continued use alone is not permission for shared AI learning.
